Terms of Service
The agreement between you and TurningMatter DBA of Colossus Rentals LLC for the use of Idle9.
1. Who you are contracting with
Idle9 is operated by TurningMatter DBA of Colossus Rentals LLC, a limited liability company organised under the laws of the State of Texas, United States. In these terms “we”, “us” and “Idle9” mean TurningMatter DBA of Colossus Rentals LLC. “You” means the person or organisation using the service.
By creating an account or using Idle9 you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
2. The service
Idle9 provides persistent Linux development environments that AI coding tools connect to over the Model Context Protocol. An environment keeps its files, installed packages and data between sessions. Environments sleep automatically after a period of inactivity — currently 20 minutes — which archives the workspace to storage and destroys the running container. The archive is restored the next time the environment is used.
One environment runs at a time per account. Waking a second environment automatically sleeps the first, archiving it rather than discarding it.
3. Your account
You must provide a valid email address, which we verify before granting access. You are responsible for everything that happens under your account and for keeping your access tokens confidential. An Idle9 access token grants full control of your environments; treat it like a password. If you believe a token has leaked, revoke it from your dashboard — revocation takes effect immediately.
You must be at least 18 years old, or the age of majority where you live.
4. Acceptable use
You may not use Idle9 to:
- break any applicable law, or infringe anyone's intellectual property or privacy rights;
- mine cryptocurrency, or run workloads whose main purpose is consuming compute;
- send unsolicited bulk email, or host phishing pages, malware or command-and-control infrastructure;
- attack, scan or disrupt any third party, or any part of our infrastructure;
- attempt to escape the sandbox, reach another customer's environment, or interfere with the isolation between environments;
- resell access to environments as a substitute for customers holding their own accounts.
We may suspend an account immediately, without notice, where continued operation would endanger our infrastructure or other customers. Where suspension is not urgent we will contact you first.
5. Fees and billing
Idle9 is billed monthly in advance. Current prices are shown on our pricing page. Additional environments and storage add-ons are billed per unit at a fixed monthly price, charged in full when you buy them and on the same date each month afterwards. They are not billed by the day and are not prorated in either direction.
Cancelling an add-on stops it renewing at the end of the period you have already paid for. You keep it, and whatever is using it, until that date; no refund or credit is given for the remainder of a period, and none is charged for a part of one.
Payments are processed by Stripe. Card details are entered in a form served by Stripe inside our billing page and go directly to them; we never receive or store your card number, and we hold nothing but the card brand, its last four digits and its expiry date.
Idle9 is the seller of record for every transaction and issues your invoice. Prices shown are exclusive of any sales tax or VAT; where tax applies to your purchase it is calculated at the time of payment and shown on your invoice.
If a payment fails, your subscription enters a grace period of 3 days during which the service continues to work normally and we show a notice on your dashboard. If payment has not succeeded by the end of that period, access ends as described in section 6.
We may change prices with at least 30 days' notice by email to the address on your account. A price change never applies to a billing period you have already paid for.
6. Cancellation, and what happens to your data
You may cancel at any time from your billing page, without contacting us and without leaving the site. Cancelling the plan takes effect at the end of the period you have paid for — everything keeps working until then, and you may reverse the cancellation at any point before that date. We do not refund partial months except where required by law.
Add-ons (additional environments and storage drives) end immediately when you cancel them, because they are given up together with the resource they pay for, and the unused part of the period is credited against your next invoice.
When your subscription ends, your environments stop being usable immediately, and your environments and their stored snapshots are permanently deleted 7 days later. During those 7 days your dashboard shows the number of days remaining. If you resubscribe within that window, everything is restored exactly as you left it. After deletion the data is not recoverable by you or by us.
Deleting your account from the dashboard cancels your subscription and destroys your environments and snapshots immediately, without the 7-day window.
Cancelling a storage add-on that is attached to an environment follows the same rule. That environment keeps every file and stops being usable until you either buy the drive back, which restores it exactly as it was, or detach the drive yourself, which erases that environment's storage. If you do neither, its storage is erased 7 days after the add-on ended. The remaining days are shown on your dashboard throughout.
Export anything you need before cancelling. Your environments are ordinary Linux machines and you can copy data out at any time while your subscription is active.
7. Your content
You keep all rights to the code, data and other content in your environments. We claim no ownership of it.
You grant us only the limited licence needed to run the service: to store, copy, transmit and archive your content so that environments can be operated, snapshotted and restored. We do not use your content to train models, and we do not share it with third parties except the infrastructure providers needed to deliver the service.
We may access the contents of an environment only where necessary to operate the service, to investigate a suspected breach of section 4, or where you ask us to for support. Privileged operator access is audit-logged.
8. Availability
We do not currently offer a formal uptime commitment or service credits. Idle9 runs on dedicated hardware we manage, and hardware fails. Environments are snapshotted when they sleep, not continuously — work done since the last sleep can be lost if the machine running your environment fails. Treat an environment as a working area, not as your only copy: use version control and keep backups of anything you cannot lose.
We may perform maintenance that briefly interrupts service, and will avoid doing so without notice where we reasonably can.
9. Disclaimers
Except as expressly stated in these terms, and to the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of or relating to these terms or the service.
Our total aggregate liability arising out of or relating to these terms or the service is limited to the amount you paid us for the service in the 12 months immediately before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will indemnify and hold harmless TurningMatter DBA of Colossus Rentals LLC against third-party claims arising from your content or your use of the service in breach of section 4, except to the extent the claim arises from our own breach of these terms.
12. Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice by email to the address on your account, and the new terms take effect at the start of your next billing period. Continuing to use the service after that date means you accept them. If you do not, cancel before the effective date.
13. Termination by us
We may terminate or suspend your account for a material breach of these terms, or if we stop offering the service. If we discontinue the service or terminate you without cause, we will give at least 30 days' notice and refund any prepaid, unused fees.
14. Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Texas have exclusive jurisdiction over any dispute arising out of or relating to these terms, and both parties consent to that jurisdiction and venue.
15. General
These terms are the entire agreement between you and us regarding the service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a successor in connection with a merger, acquisition or sale of assets.
